These Terms of Use (“Terms”) govern your access to and use of donato.digital and any websites, pages, software, browser extensions, tools, content, data, features, and services made available by or through donato.digital (collectively, the “Service”).
The Service is operated by donato.digital (“Donato,” “we,” “us,” or “our”). You may contact us at [email protected].
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Service.
1. The Service
Donato provides software and online services related to podcast discovery, podcast content enrichment, structured podcast information, and machine-readable presentation of podcast-related content.
The Service may include creator pages, podcast pages, episode pages, summaries, metadata, structured episode information, creator tools, account features, analytics, and other related functionality.
Donato may also make available optional commerce-related features, including browser-extension functionality, coupon discovery, merchant attribution, affiliate attribution, and creator-support features. These commerce-related features are separate from Donato’s podcast discovery and enrichment functionality and may be modified, limited, suspended, or discontinued at any time.
Donato is not a podcast hosting provider, streaming platform, advertising agency, talent agency, payment processor, financial institution, charity, tax advisor, legal advisor, or merchant of record.
2. Eligibility
You may use the Service only if you are legally able to enter into a binding agreement.
You may not use the Service if you are under 13 years of age. If you are under the age of majority in your jurisdiction, you may use the Service only with the consent of a parent or legal guardian.
If you access or use the Service on behalf of a company, podcast, creator, publisher, agency, or other organization, you represent that you have authority to bind that organization to these Terms.
3. Accounts
Certain features may require an account. You agree to provide accurate, current, and complete information and to keep that information updated.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
You must promptly notify us at [email protected] if you believe your account has been compromised or used without authorization.
We may suspend or terminate your account or access to the Service if we reasonably believe that you have violated these Terms, created risk or liability for Donato or others, or used the Service in a fraudulent, abusive, unlawful, or harmful manner.
4. Public Podcast Information
The Service may display, process, organize, or generate information related to podcasts, creators, shows, and episodes.
Such information may be obtained from public RSS feeds, public websites, podcast directories, creator-submitted materials, third-party data providers, or other publicly available sources.
The appearance of any creator, podcast, show, episode, name, logo, artwork, description, transcript excerpt, quote, link, or other material on the Service does not imply endorsement, sponsorship, affiliation, approval, or partnership unless expressly stated.
If you are a creator, publisher, copyright owner, or authorized representative and believe that information on the Service is inaccurate, unauthorized, outdated, or should not appear on the Service, you may contact us at [email protected]. We may review and respond to such requests at our discretion, subject to applicable law.
5. AI-Assisted Content
The Service may use artificial intelligence, automation, or other computational methods to generate, transform, classify, summarize, structure, or enrich podcast-related information.
AI-assisted content may be inaccurate, incomplete, misleading, outdated, or unsuitable for a particular use. You are responsible for reviewing and verifying any content before relying on it or using it for business, legal, financial, medical, tax, or other important purposes.
Donato does not represent or warrant that AI-assisted content is accurate, complete, current, non-infringing, or appropriate for your intended use.
6. No Guarantee of Search, AI, or Discovery Outcomes
Donato may structure and present podcast-related information in ways intended to make such information more accessible or understandable to users, search engines, AI assistants, answer engines, and other third-party systems.
Donato does not guarantee that any content, page, creator, podcast, episode, summary, metadata, enrichment, or other material will be crawled, indexed, ranked, cited, recommended, displayed, summarized, linked to, or used by any search engine, AI assistant, answer engine, podcast platform, social platform, or other third-party service.
Third-party systems make their own independent decisions. Donato does not control those systems.
7. User Content and Creator Content
“User Content” means any content, materials, information, data, files, text, images, links, metadata, transcripts, descriptions, artwork, logos, brand assets, feedback, or other materials that you submit, upload, provide, authorize, or otherwise make available through the Service.
You retain any rights you may have in your User Content.
By submitting or providing User Content, you grant Donato a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, reproduce, display, distribute, modify, adapt, excerpt, analyze, classify, index, transform, create derivative works from, and otherwise use such User Content to operate, provide, maintain, improve, secure, promote, and develop the Service.
You represent and warrant that:
- you own or have all rights necessary to provide the User Content
- Donato’s use of the User Content as permitted by these Terms will not violate any law or third-party right
- the User Content is not unlawful, defamatory, fraudulent, misleading, obscene, hateful, abusive, infringing, or otherwise harmful
- you will not submit or authorize content that you are not permitted to provide
You are solely responsible for your User Content and for the consequences of submitting or authorizing it.
8. Donato Materials
The Service, including its software, design, interfaces, databases, workflows, page structures, taxonomies, metadata structures, enrichment formats, data models, analytics, generated enrichment layers, and other materials made available by Donato, is owned by Donato or its licensors and is protected by intellectual property and other laws.
Except as expressly permitted by these Terms, you may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, scrape, bulk export, or create derivative works from the Service or Donato Materials.
Nothing in these Terms transfers ownership of Donato Materials to you.
9. Permitted Use of Creator-Facing Outputs
If Donato provides creator-facing outputs, exports, summaries, enrichment files, dashboards, or other materials relating to your own podcast or creator profile, you may use those materials for your own internal business, podcast, marketing, editorial, analytics, and website purposes, unless separate terms apply.
You may not use Donato Materials or outputs to build, train, improve, benchmark, or commercialize a competing product, podcast intelligence database, AI visibility platform, enrichment engine, affiliate system, or substantially similar service without Donato’s prior written permission.
11. Creator Support and Affiliate Attribution
The Service may allow users to select creators they wish to support. If a user visits or purchases from a participating merchant through certain Donato features, Donato may receive affiliate commissions, referral fees, performance marketing revenue, or similar compensation.
Donato may, in its discretion and subject to applicable program rules, allocate a portion of such revenue to selected creators.
Any creator-support allocation may be subject to tracking availability, merchant approval, affiliate-network reporting, fraud checks, refund periods, chargebacks, reversals, minimum payout thresholds, tax documentation, payment provider requirements, account eligibility, and other conditions.
Creator support through Donato is not a donation, charitable contribution, tip, investment, security, bank account, stored value account, fiduciary relationship, or guaranteed payment.
Creators are not guaranteed any revenue, payout, attribution, conversion, merchant participation, or audience activity.
Donato may modify, suspend, or terminate any creator-support or affiliate-attribution program at any time.
12. Affiliate and Endorsement Disclosures
Some links, offers, merchant references, coupon features, creator-support features, promotions, or recommendations may involve affiliate relationships, referral arrangements, commissions, free access, revenue share, or other compensation to Donato or participating creators.
Creators, publishers, influencers, affiliates, partners, and other persons who promote Donato or any related commerce feature are responsible for complying with applicable disclosure requirements, including clearly and conspicuously disclosing material connections where required.
You may not make false, misleading, deceptive, or unsubstantiated claims about Donato, the Service, any merchant, any coupon, any expected savings, any creator-support outcome, or any compensation arrangement.
13. Fees and Paid Features
Some features may be offered for free, as a trial, as a beta, by invitation, on a subscription basis, on a usage basis, or for a fee.
If you purchase a paid feature, you agree to pay all applicable fees, taxes, and charges. Fees are non-refundable except as required by law or expressly stated in writing.
If we offer subscriptions, the applicable pricing, renewal terms, cancellation process, billing period, and refund terms will be disclosed at or before purchase.
We may change pricing, feature availability, usage limits, and eligibility requirements at any time, subject to any terms presented at the time of purchase.
14. Beta and Experimental Features
Donato may make beta, pilot, experimental, early-access, or trial features available.
Such features may be incomplete, unstable, unavailable, inaccurate, or discontinued without notice. Beta and experimental features are provided “as is” and without warranty.
We may use feedback, performance data, usage data, and results from such features to operate, improve, and develop the Service.
15. Acceptable Use
You agree not to:
- violate any law, regulation, contract, or third-party right
- infringe or misappropriate intellectual property, privacy, publicity, or other rights
- submit false, misleading, unlawful, defamatory, abusive, hateful, obscene, fraudulent, or harmful content
- impersonate any person or entity or misrepresent your affiliation with any creator, podcast, publisher, merchant, or organization
- access or use the Service for scraping, crawling, harvesting, bulk downloading, or automated extraction except as expressly authorized by Donato
- reverse engineer, decompile, disassemble, or attempt to derive source code, non-public APIs, models, prompts, systems, or underlying structures of the Service
- bypass or interfere with security, access controls, rate limits, technical restrictions, or usage limits
- introduce malware, harmful code, or security vulnerabilities
- manipulate coupons, attribution, commissions, payouts, analytics, creator-support allocations, or reporting
- create fake accounts, fake traffic, fake clicks, fake purchases, fake creator claims, or fraudulent attribution events
- use the Service to develop or improve a competing product or service
- use the Service in a manner that could damage, disable, overburden, impair, or interfere with Donato, users, creators, merchants, partners, or third parties
16. Third-Party Services
The Service may contain links to, rely on, interact with, or integrate with third-party websites, platforms, APIs, podcast hosts, AI systems, search engines, analytics providers, affiliate networks, payment providers, merchants, and other third-party services.
Donato does not control and is not responsible for third-party services, including their content, products, policies, practices, availability, accuracy, security, or performance.
Your use of third-party services is governed by their own terms and policies.
17. Privacy
Your use of the Service is subject to our Privacy Policy.
The Privacy Policy explains how we collect, use, disclose, and protect information. By using the Service, you acknowledge that you have reviewed the Privacy Policy.
18. Copyright Complaints
If you believe that material available through the Service infringes your copyright, you may send a notice to [email protected].
Your notice should include:
- your physical or electronic signature
- identification of the copyrighted work you claim has been infringed
- identification of the material you claim is infringing and where it is located on the Service
- your contact information
- a statement that you have a good-faith belief that use of the material is not authorized by the copyright owner, its agent, or the law
- a statement that the information in your notice is accurate and, under penalty of perjury, that you are authorized to act on behalf of the copyright owner
We may remove or disable access to allegedly infringing material and may terminate repeat infringers where appropriate.
If Donato later publishes a separate Copyright Policy or designates a copyright agent, copyright notices should be submitted according to that updated process.
19. Feedback
If you provide feedback, ideas, suggestions, requests, comments, or recommendations about the Service, you grant Donato a worldwide, perpetual, irrevocable, royalty-free license to use that feedback without restriction or compensation.
20. Suspension and Termination
We may suspend, limit, or terminate your access to the Service at any time, with or without notice, if we believe that:
- you have violated these Terms
- your use of the Service creates legal, security, operational, reputational, or financial risk
- you have engaged in fraud, abuse, infringement, manipulation, or unlawful conduct
- suspension or termination is necessary to protect Donato, users, creators, merchants, partners, or third parties
You may stop using the Service at any time.
If you have an account, you may request deletion by contacting [email protected]. We may retain information as necessary to comply with legal obligations, resolve disputes, enforce agreements, maintain security, prevent fraud or abuse, and operate the Service.
Any provisions that by their nature should survive termination will survive, including provisions relating to intellectual property, licenses, restrictions, disclaimers, limitation of liability, indemnification, dispute resolution, and governing law.
21. Changes to the Service
We may modify, suspend, discontinue, replace, or restrict any part of the Service at any time, with or without notice.
We are not liable for any modification, suspension, discontinuation, loss of access, loss of data, change in functionality, or change in availability of the Service.
22. Changes to These Terms
We may update these Terms from time to time.
If we make material changes, we may provide notice by posting the updated Terms on the Service, updating the “Last Updated” date, or using another reasonable method.
Unless otherwise stated, updated Terms become effective when posted. Your continued use of the Service after updated Terms become effective constitutes acceptance of the updated Terms.
23. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DONATO DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, RELIABILITY, AND UNINTERRUPTED OPERATION.
DONATO DOES NOT WARRANT THAT:
- THE SERVICE WILL BE ERROR-FREE, SECURE, UNINTERRUPTED, OR AVAILABLE AT ANY PARTICULAR TIME
- ANY CONTENT OR OUTPUT WILL BE ACCURATE, COMPLETE, CURRENT, OR RELIABLE
- ANY AI-ASSISTED CONTENT WILL BE FREE FROM ERRORS, OMISSIONS, OR INFRINGEMENT CLAIMS
- ANY CREATOR, PODCAST, EPISODE, OR PAGE WILL RECEIVE TRAFFIC, INDEXING, RANKING, CITATIONS, RECOMMENDATIONS, REVENUE, OR AUDIENCE GROWTH
- ANY THIRD-PARTY SYSTEM WILL ACCESS, INDEX, CITE, DISPLAY, RECOMMEND, OR USE ANY DONATO PAGE OR CONTENT
- ANY COUPON WILL WORK, BE ACCEPTED, OR PROVIDE THE BEST AVAILABLE PRICE
- ANY AFFILIATE ATTRIBUTION, COMMISSION, CREATOR-SUPPORT ALLOCATION, OR PAYOUT WILL BE TRACKED, APPROVED, OR PAID
24. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DONATO AND ITS OPERATORS, CONTRACTORS, CONTRIBUTORS, AFFILIATES, LICENSORS, SERVICE PROVIDERS, AND PARTNERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, LOST GOODWILL, BUSINESS INTERRUPTION, LOST OPPORTUNITIES, LOST TRAFFIC, LOST RANKINGS, LOST COMMISSIONS, FAILED ATTRIBUTION, FAILED COUPON APPLICATION, OR LOSS OF CREATOR-SUPPORT REVENUE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DONATO’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF:
- THE AMOUNT YOU PAID TO DONATO FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE; OR
- USD $100.
Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.
25. Indemnification
You agree to defend, indemnify, and hold harmless Donato and its operators, contractors, contributors, affiliates, licensors, service providers, and partners from and against any claims, demands, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:
- your access to or use of the Service
- your User Content
- your violation of these Terms
- your violation of law or third-party rights
- your misrepresentation of affiliation, authority, ownership, permissions, or rights
- your promotion of Donato or commerce-related features
- your failure to make required disclosures
- fraud, abuse, manipulation, or misconduct involving accounts, coupons, attribution, commissions, payouts, or creator-support features
26. Governing Law
These Terms are governed by the laws of the State of Delaware and applicable U.S. federal law, without regard to conflict-of-law principles.
If you are using the Service as a consumer, you may have rights under the laws of your state of residence that cannot be waived by contract.
27. Arbitration; Class Action Waiver
Please read this section carefully. It affects your legal rights.
Any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration, except that either party may bring an individual claim in small claims court if eligible, and either party may seek injunctive or equitable relief in court for intellectual property misuse, unauthorized access, scraping, reverse engineering, fraud, security abuse, or misuse of the Service.
The arbitration will be administered by the American Arbitration Association under its applicable rules.
You and Donato agree that any dispute will be resolved only on an individual basis and not as a class, collective, consolidated, representative, or private attorney general action.
You and Donato waive any right to a jury trial or to participate in a class action.
If the class action waiver in this section is found unenforceable, the arbitration agreement in this section may be unenforceable as to that dispute.
You may opt out of this arbitration agreement by sending written notice to [email protected] within 30 days after you first accept these Terms. Your notice must include your name, email address, and a clear statement that you wish to opt out of arbitration.
28. Assignment
You may not assign or transfer these Terms without Donato’s prior written consent.
Donato may assign or transfer these Terms without restriction, including in connection with a merger, acquisition, financing, reorganization, sale of assets, transfer of the Service, or by operation of law.
29. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect.
30. No Waiver
Donato’s failure to enforce any provision of these Terms is not a waiver of its right to do so later.
31. Entire Agreement
These Terms, together with any policies or additional terms incorporated by reference, constitute the entire agreement between you and Donato regarding the Service and supersede any prior or contemporaneous understandings regarding the Service.
